GroundworkTerms of Use

Terms of Use and Software License

Version · Effective when accepted

1. Who this agreement is between

This agreement is between , an individual (the “Licensor”, “we”), and the company that buys and uses the software (the “Customer”, “you”). The person who accepts these terms confirms they have the authority to accept them for the Customer. If you do not accept them, do not use the software.

2. What these terms cover

The “Software” is the Groundwork construction CRM (customer relationship management system): the web application, its server code, its setup and the documentation we deliver, including any fixes we deliver under these terms.

3. Your license

  1. After you pay the one-time license fee, we grant you a perpetual, non-exclusive, non-transferable license to install and use the Software for your own internal business.
  2. Your employees and the contractors working for you may use it under your accounts, in any number.
  3. You are buying a license, not the Software itself. All rights not expressly granted stay with the Licensor.

4. What you may not do

5. Ownership

The Licensor owns the Software and all intellectual property in it, including all copies, changes and improvements. Suggestions you give us may be used freely to improve the Software.

6. Your data

  1. Your data belongs to you. Everything your team enters or uploads (clients, jobs, estimates, money, photos, documents) is your property.
  2. Your data is stored in your own cloud account, not ours. We do not sell it, share it or use it for anything else.
  3. We only access your data when you ask us for help, and only as much as the help needs.
  4. You are responsible for the data you collect, for having the right to use it, and for following the privacy and marketing laws that apply to you.
  5. You can export all of your data at any time from Settings → Backup.

7. Accounts and services you use with the Software

The Software runs in your own accounts with third-party services, chosen and paid for by you, including Cloudflare (hosting, database and file storage), Anthropic (Claude), Google (Gmail) and Thumbtack. Those services are governed by their own terms and prices. We are not responsible for their availability, their charges or any change they make that affects the Software. You are responsible for your accounts, keys, spending limits and passwords.

8. Claude and AI features

The Software uses Claude, an AI model, to read what your team says, update records, read photos and documents, price estimates and write messages. AI can make mistakes. You are responsible for checking prices, estimates, emails, messages and records before you rely on them or send them to anyone. Nothing the Software produces is legal, tax, financial, engineering or safety advice.

9. Security

The Software includes reasonable security measures: individual sign-ins, team roles, encrypted keys, and data kept in your own account. You are responsible for adding and removing people, keeping passwords private, and turning off accounts of people who leave. No system is perfectly secure, and we cannot guarantee that unauthorized access will never happen.

10. Installation and fixes (warranty)

  1. We set up the Software in your cloud account and help you connect your services, as agreed when you buy it.
  2. For days after installation, we will fix, at no charge, any error you report that we can reproduce and that stops the Software from working as described in its documentation. If we cannot fix it, we may instead refund the license fee, and the license ends.
  3. Updates, new features and help after that period are not included, unless we agree on a support plan in writing.

11. Disclaimer

Except for the fix period in section 10, the Software is provided “as is” and “as available”. To the extent the law allows, we make no other promises, express or implied, including that the Software will be uninterrupted, error-free, or suitable for a particular purpose, or that it will keep working when third-party services change.

12. Limit of liability

To the extent the law allows: (a) neither side is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or business; and (b) the Licensor's total liability for everything related to the Software is limited to the license fee you paid. Keep your own backups (Settings → Backup).

13. Your responsibility

You will cover the Licensor's costs from claims by others that arise from your data, your messages to your customers, or your use of the Software against these terms or the law.

14. Payment

The license fee, the setup included and any support plan are set out in our quote or invoice. The fee is paid once and is not refundable after installation, except as stated in section 10.

15. Ending the license

The license lasts forever unless you seriously break these terms and do not fix it within 30 days of our written notice. If it ends, you must stop using the Software, but your data remains yours and you may export it.

16. Confidentiality

Each side keeps the other's non-public information confidential, including your business data and our source code, and uses it only for this agreement.
